 ATV/UTV Club of North Carolina

Club Bylaws 

amended February, 2008

Article I: Name and Definition

The name of the club shall be Triad Trailblazers ATV/UTV Club of North Carolina. For the purpose of definition shall be made up of accepted members and annual dues kept current.

Article II: Membership.

Membership into the club shall be open to any person owning an ATV/UTV, willing to abide by the rules and bylaws that govern the actions of the club and keeping annual dues current.

Article III: Board of Directors

Section 1 – General Powers. The Board of Directors shall manage the business and affairs of the club.

Section 2 – Number of Directors. The number of Directors constituting the Board shall be determined by the number of positions made available by the Club Officers. In addition to President, Vice President, and Administrative Assistant, non-elected positions of Webmaster, and Treasurer and the Chairman of the Board will make up the Board of Directors.

Section 3 – Vacancies. Any vacancy occurring in the Board of Directors shall be filled by the remaining Board of Director members until the next election.

Section 4 - President. The club President shall be elected by majority vote of the members to a two-year term. This officer may be re-elected.

Section 5 – Compensation. Officers, Directors, and President shall serve without compensation.

Section 6 – Original founding Officers. To insure the direction of the club is maintained as it was originally intended, the founding officers will always be considered part of the Board of Directors. The only  officer left is  Brian Brown .  Brian Brown has the been elected by majority vote of the club members to the position of Chairman of the Board and will oversee and assist the elected Officers.

Article IV: Elections

Election of Officers, President, Vice President, and Administrative Assistant, will be held every year. The term will begin January 1st of each year. Officers may be re-elected. Origination of election procedure will begin in late October to early November. Eligibility of Office is determined by tenure membership of at least one year.  Tenure requirement may be waived by Officer vote when needed.

Nominations and voting can begin as soon as the election announcement is made. If no announcement is made, election process can start on November 15th, by the first vote or nomination. Voting will be done on the Members Forum by means of electronic polling. All votes must be submitted before or during the last meeting in December. Votes not received by the cut off date will be counted with the majority vote. The final tally of the votes will be done during the December meeting.

Article V: Meetings.

Meetings will be held every 3rd Tuesday of the month at 6:30 PM at the Golden Corral Restaurant unless otherwise noted. Any changes in meeting place, date or time must be provided to the members via email and the forum at least 2 days prior to the meeting when possible. Meetings shall be open to all members. Any Board Member may conduct the meetings. All members have equal rights to voice ideas, opinions or concerns at the meetings. Every meeting will be ended with an "Open Floor" discussion to insure all club members have an opportunity to share their ideas and desires, followed by a drawing for a door prize. Guest are included in the drawing.

Article VI: Mission.

The mission of the club shall be to form events, procure new riding areas, organize ATV camping trips, promote safe riding practices, and to be a positive example of the ATV sport to the public.

Article VII: Committees

Committees may be established from time to time by the Board of Directors whose purpose contribute to the mission of the club.

Article VIII: Prohibited Activities

The Club, its Board of Directors, or any Committee shall at no time be paid for services, promote illegal or immoral actions while performing the duties of the Club.

Article IX: Officers

Section 1- Officers including President, Vice President, and Secretary may be elected by majority vote of members. See Article IV Elections.

Section 2 – All Officers will serve a term of two years. Election process will start in November.

Section 3 – Officers Responsibilities and Rights.

  1. Officers will have access to all club functions, accounts, web page, and Email passwords.
  2. President and Vice President will be responsible for monthly club meetings and overseeing the functions of all other Officers and Board of Directors.
  3. Treasurer will be responsible for all club monies and billing of club dues. Accountability of club funds will be available in writing on request by any Officer or member in good standing. The balance of the club account should not be less than one hundred dollars $100 at any time.
  4. Secretary will be responsible for keeping member files and records, keeping member’s signed application, and club minutes. Also, unless otherwise assigned, the secretary will take all club minutes for the record and distribution.

Section 4 – Vacancies shall be filled by a majority vote of the Board of Directors.

Section 5 - Any member may be removed by the Board, when it is judged to be in the best interest of the Club.

Article X: Other Board of Directors members

Other Board of Directors will include the Treasurer and Webmaster. These positions are created to support and improve the functions of the club. Members will not be required to be elected to these positions. These positions may be filled by the request of the officers, or by volunteering. The person(s) seeking any of these positions must be accepted by the majority vote of Officers.

Rights and Responsibilities.

Webmaster. Webmaster will have access to all Passwords and functions of the web page in order to perform their duties. The Webmaster is to keep the web pages current to club functions and events. Web pages should be reviewed after each club meeting for accuracy and current status.

Article XI: Club obligation to Member(s) in need.

From time to time, a member may be in need of assistance due to injury, sickness, or other personal concern. While it is not the function or included in the origination of rules and guidelines of the club to supply any support or assistance to any club member, the desire for helping is felt by the members. The need to create a Bylaw to govern and guide the Officers in these emotional times was requested by the members in an effort to be equal and uniform to all members. The result of this Amendment to the Bylaws is as follows:

  1. Every incident will be on a case by case review by the Club Officers and Board of Directors to determine need.
  2. Use of club funds, if available, should not exceed $100.00. This maybe increased by majority vote of the members.
  3. Club funds will not be used for any non member, member’s family, or member’s friends. The exception would be for a Member’s immediate family in a show of sympathy by way of flowers or memorial. This act of kindness must be approved by the Club Officers and shall be limited to $60.00. This may increase by a majority vote of the members.

Article XII: Club Termination.

If said club, The Triad Trailblazers, ceases to function as a club for a period of one year, the remaining monies will be divided up equally with the remaining members in good standing at the time of the last official club meeting.

Article XIII: Amendments

These articles may be amended at any time by majority vote of members. Information will be emailed to members. Members will have one week to cast their vote. Votes not received in the allotted time will be counted with the majority votes received.
